Customer Terms
Effective date: August 1, 2026
These Customer Terms govern access to and use of Ameliorza’s website, organizational learning products, tools, downloads, and related services. Please read them before purchasing, accepting an order, creating an account, or using Ameliorza materials.
1. Agreement
By purchasing or accepting an Ameliorza order, the organizational buyer agrees to these Terms.
If you act for an organization, you confirm that you have authority to act for that organization in relation to the purchase.
Administrators and learners who create an account, access the learning environment, or use Ameliorza materials must also comply with the user-use provisions of these Terms.
“You” means the organizational buyer and, where the context requires, its authorized administrators and learners.
“Ameliorza,” “we,” and “us” mean the business operating under the Ameliorza name.
The agreement for a purchase consists of these Terms, the Privacy Policy, and the applicable checkout record, order confirmation, invoice, or written order.
A product-specific order may contain additional commercial terms. If a product-specific term conflicts with these Terms, the product-specific term controls for that purchase.
Ameliorza may retain electronic records showing the purchaser, order, applicable terms version, acceptance information, timestamp, payment status, and related transaction details as evidence of the agreement.
2. Organizational licence, scope, and users
Ameliorza products are licensed for organizational workplace use.
The licensed scope is the legal entity, named workforce, business unit, or other organizational scope identified in the applicable order or purchase record.
Ameliorza products are intended for organizational use across jurisdictions. A customer’s location does not by itself restrict eligibility to purchase, unless Ameliorza states otherwise for a particular offer or a legal, tax, payment, or operational requirement requires different treatment.
An affiliate is included only where it is expressly included in writing and accounted for in the applicable covered-workforce scope and price.
The buyer is responsible for identifying authorized administrators and learners, providing accurate setup and roster information, and keeping that information reasonably current.
The applicable workforce tier is based on the covered workforce and authorized named-account scope stated or confirmed for the purchase.
Each learner account is for one authorized individual and may not be shared, rotated among multiple people, or used to avoid the applicable covered-workforce tier.
Learners receive the learning components required for their assigned organizational role. A person with more than one responsibility may receive the combined applicable learning path while counting once toward the covered workforce.
Each learner must have a unique email address they can access individually. A work email should be used where one is available. Where the buyer does not provide individual work email accounts, a personal email address may be used if the buyer has authority to provide it and has given any notice required by its policies or applicable law.
Reasonable account reassignment is permitted for genuine departures, new hires, promotions, and role changes. Reassignment may not be used to rotate a smaller number of accounts through a larger workforce.
When a named learner leaves the licensed organization, the buyer must notify Ameliorza promptly so access can be removed. Where a departure is known in advance, the buyer should submit the roster change on or before the learner’s final day. Otherwise, the buyer should notify Ameliorza as soon as reasonably practicable after becoming aware of the departure.
If the covered workforce or authorized account scope exceeds the purchased tier during the term, the buyer must notify Ameliorza. Ameliorza may require the licence to move to the applicable tier and may charge the transparent prorated difference for the remaining applicable period, as described in the order or current commercial terms.
3. Purchase, access, delivery, and updates
Access requires full cleared payment.
For direct checkout purchases, the purchaser may receive access to the applicable licence shell after payment so that the purchaser can complete the required setup and roster process.
Access to the role-based learner components begins only after Ameliorza has received a complete valid learner roster, completed the required setup, and confirmed the organizational access-start date.
Ameliorza’s launch standard is to create initial learner access within three business days after receiving a complete valid roster.
If material roster information is incomplete or requires correction, the setup period begins again when Ameliorza receives the complete corrected roster.
The organizational licence term is twelve months from the access-start date confirmed by Ameliorza unless the applicable order expressly states otherwise.
Issuing an invoice does not create a licence entitlement, access-start date, learner enrolment, or reservation of limited availability.
The included learning components, named-user or workforce limits, organizational scope, administrative features, and expiry date are those shown in or confirmed for the applicable order.
Ameliorza may update learning content, tools, assessments, resources, or platform presentation to correct errors, improve accessibility, maintain accuracy, strengthen the learning experience, or maintain the product.
Updates will not be used to remove the core product purchased without a reasonable substitute or remedy.
Access depends partly on third-party technology, including Thinkific and payment services. Planned maintenance, security work, technical limits, and service outages may affect availability.
4. Fees, currency, taxes, and payment
Launch prices are stated in Canadian dollars (CAD) unless a checkout page or written order expressly states another currency.
Applicable taxes are added where required.
Direct full payment through the published checkout is the primary purchase route for fixed-price offers.
An invoice is available on request. The standard invoice term is Net 7 calendar days.
Ameliorza may approve a longer term only for a documented procurement requirement, and the approved payment term may not exceed Net 30 calendar days unless Ameliorza expressly agrees in writing to a different arrangement.
No account setup, learner enrolment, download delivery, licence commencement, or learner access begins before full cleared payment.
An unpaid invoice does not reserve a price, access date, Founding Licence place, or other limited availability.
Where an offer is limited by quantity or availability, eligibility is determined under the applicable offer terms and confirmed only when the required payment has cleared.
The buyer is responsible for providing accurate purchasing, billing, tax, and organizational information.
Late, failed, reversed, or disputed payment may delay setup, suspend access, void an unpaid order, or result in collection of amounts properly due.
5. Cancellations and refunds
Ameliorza provides digital learning access and downloadable or online resources. There are no physical goods to return.
An organizational buyer may cancel for a full refund by sending written notice before Ameliorza begins organizational setup, enrols a learner, provides a purchased download, or otherwise begins making the purchased learning materials available beyond the post-purchase setup shell.
Once substantive setup or delivery has begun, purchases are generally non-refundable.
A refund is not ordinarily available because:
- the organization changes its priorities, staffing, budget, or rollout plans;
- a learner does not participate or complete the learning;
- the organization uses fewer accounts than it purchased; or
- the covered workforce decreases during the licence term.
Ameliorza will correct reasonably verified duplicate charges, billing errors, and unauthorized transactions.
If Ameliorza cannot provide the core purchase because of a failure within its control, Ameliorza will first make reasonable efforts to correct the problem or provide an appropriate alternative.
If the core purchase cannot be delivered within ten business days after Ameliorza has received sufficient information to investigate and address the problem, Ameliorza will provide a full or proportionate refund for the undelivered portion.
Any refund request must be submitted by the organizational buyer or an authorized representative.
Nothing in these Terms limits a refund, remedy, or other right that cannot lawfully be excluded.
Thinkific Payments supports full and partial refunds through the Thinkific transaction/order system.
6. Intellectual property and licensed use
Ameliorza and its licensors own the website, product architecture, learning content, tools, downloads, graphics, assessments, wording, methodologies, and other Ameliorza materials, except for material clearly identified as belonging to another owner.
Payment does not transfer ownership of Ameliorza intellectual property.
Subject to payment and compliance with these Terms, Ameliorza grants the buyer and its authorized users a limited, non-exclusive, non-transferable licence to access and use the purchased materials for the buyer’s internal workplace learning and implementation during the applicable licence period.
Unless Ameliorza expressly gives written permission, you may not:
- share accounts or provide licensed materials to unauthorized people;
- provide materials outside the approved organizational scope;
- copy, republish, sell, sublicense, distribute, or post the materials publicly;
- upload Ameliorza materials to another learning platform or shared repository for unauthorized use;
- remove ownership notices, branding, or document controls;
- use Ameliorza materials to create a competing commercial product, service, course, framework, or substantially derivative offering; or
- use automated systems to scrape, bulk-extract, reproduce, or use Ameliorza materials to train a machine-learning or artificial-intelligence model without written permission.
The buyer may make reasonable internal working copies of downloadable tools where the product expressly permits that use.
Those copies remain subject to these Terms.
After expiry, the buyer may retain its own completed organizational records and completed internal working documents where permitted. Access to Ameliorza courses, blank templates, reference materials, updates, and future reuse ends unless the applicable order or licence expressly states otherwise.
7. Buyer, administrator, and learner responsibilities
You must use Ameliorza products lawfully and for their intended organizational purpose.
You must not:
- share or misuse credentials;
- attempt unauthorized access;
- interfere with the website or platform;
- introduce malicious code;
- impersonate another person;
- use the service to harass, threaten, discriminate against, or unlawfully target another person; or
- use Ameliorza systems to submit information that the service was not designed to receive.
Do not submit confidential workplace case files, investigation records, health or medical information, detailed workplace complaints, or similarly sensitive material through general forms, course discussions, assessments, rosters, or ordinary support channels unless Ameliorza has expressly requested specific information through an approved secure process.
8. Accessibility
Ameliorza takes reasonable steps to make the parts of its website, learning experience, and customer materials under its control accessible.
If an authorized user encounters an accessibility barrier, contact Ameliorza at:
Ameliorza will consider reasonable accessibility or accommodation requests relating to parts of the service under its control, consistent with applicable law and available platform capabilities.
Some parts of the service are provided through third-party platforms and may have limitations outside Ameliorza’s direct control.
9. Organizational responsibility
Ameliorza provides workplace standards, learning, practice, tools, and implementation resources.
The purchasing organization remains responsible for its:
- workplace policies;
- reporting and escalation channels;
- management and employment decisions;
- investigations;
- legal and regulatory obligations;
- working conditions;
- organizational implementation;
- internal communications;
- reinforcement; and
- action on workplace information it receives.
Training cannot replace an organization’s responsibility to act where its systems, decisions, incentives, conduct, or legal duties require action.
For customers operating in more than one jurisdiction, the buyer is responsible for determining the legal, employment, privacy, accessibility, consultation, notice, or other local requirements that apply to its own deployment and workplace practices.
10. Educational nature and professional boundaries
Ameliorza materials are educational.
They are not legal, medical, clinical, emergency, investigative, accounting, tax, or case-specific professional advice.
They do not create a solicitor-client, consultant-client, employment, fiduciary, or other professional relationship.
Users should follow applicable law and their organization’s approved policies, channels, and professional processes.
Where a matter requires qualified advice, investigation, emergency assistance, or another specialist process, the organization is responsible for obtaining and using the appropriate resource.
11. No guaranteed outcome
Ameliorza does not guarantee:
- legal or regulatory compliance;
- confidentiality;
- non-retaliation;
- psychological safety;
- agreement or conflict resolution;
- employee retention;
- productivity;
- financial return;
- a particular employment decision; or
- any particular workplace, commercial, or legal outcome.
Completion, confidence, satisfaction, or assessment results are not proof that the Ameliorza standard is being applied in practice.
Results depend on the learner, the organization, its systems, its decisions, and circumstances outside Ameliorza’s control.
12. Privacy and organizational reporting
The Ameliorza Privacy Policy explains how personal information is handled.
The buyer must have appropriate authority to provide learner information to Ameliorza and is responsible for giving learners any notice required by its own policies or applicable law.
The buyer may receive enrolment, participation, progress, completion, access-status, and limited assessment information as described in the applicable offer or onboarding materials.
Ameliorza does not provide hidden behavioural profiles about learners and does not make employment decisions for the buyer.
13. Suspension and termination
Ameliorza may suspend access where reasonably necessary to address:
- non-payment;
- misuse;
- security risk;
- unauthorized account or material sharing;
- an exceeded licence scope;
- legal requirements; or
- a material breach of these Terms.
Where appropriate, Ameliorza will provide notice and a reasonable opportunity to correct the issue.
Ameliorza may terminate access for a serious or repeated breach.
Termination does not eliminate payment obligations already incurred.
Provisions that by their nature should continue after termination or expiry remain effective, including intellectual-property provisions, payment obligations, disclaimers, liability limitations, privacy obligations, and dispute provisions.
14. Renewal and expiry
The organizational licence does not renew automatically at launch.
Ameliorza may send planning, renewal, and expiry notices before the end of the licence term.
Renewal requires a new purchase or written order at the then-current price for the buyer’s then-current covered-workforce tier.
If the buyer does not renew, access ends at the recorded expiry date and no further renewal charge is made.
Ameliorza may disable learner access on or shortly after the expiry date, subject to reasonable operational timing.
15. Service availability and disclaimers
To the extent permitted by applicable law, the website, learning environment, platform access, and materials are provided on an “as available” basis.
Ameliorza does not promise uninterrupted or error-free operation, compatibility with every device or system, or that every third-party technology component will remain continuously available.
Ameliorza will use reasonable efforts to correct material errors and restore access within its control.
16. Limitation of liability
To the extent permitted by applicable law, Ameliorza is not liable for indirect, incidental, special, punitive, exemplary, or consequential loss, including lost profit, lost opportunity, business interruption, loss of goodwill, or losses resulting from decisions made by the buyer or its personnel.
To the extent permitted by applicable law, Ameliorza’s total aggregate liability arising from an affected product or order will not exceed the amount paid to Ameliorza for that affected product or order during the twelve months before the event giving rise to the claim.
These limitations do not apply where liability cannot lawfully be excluded or limited.
17. Governing law and disputes
These Terms are governed by the laws of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict-of-law rules.
Before starting formal proceedings, the parties will make a reasonable attempt to resolve the dispute through direct written discussion.
Subject to any mandatory legal right or forum that cannot lawfully be excluded, courts located in Alberta, Canada will have exclusive jurisdiction.
Nothing in this section removes a mandatory right or remedy that applies to a customer under applicable law despite the parties’ choice of governing law or forum.
18. Changes to these Terms
Ameliorza may update these Terms for future purchases or where changes are reasonably required for law, security, privacy, platform operation, or product administration.
The current version will be posted with a revised effective date.
Material changes affecting existing licensed access will be communicated where appropriate.
Changes do not retroactively alter an agreed purchase price or completed order unless the parties agree or applicable law requires otherwise.
19. General
If any provision of these Terms is found unenforceable, the remaining provisions continue in effect to the extent legally permitted.
A delay in enforcing a right is not a waiver of that right.
The buyer may not assign its organizational licence or these Terms without Ameliorza’s written consent.
Ameliorza may assign its rights and obligations as part of a lawful reorganization, sale, transfer, or succession of the business, subject to applicable law.
These Terms, the Privacy Policy, and the applicable checkout record, order confirmation, invoice, or written order form the agreement for the applicable purchase.
